General Terms of Service.

This Terms of Service agreement (“Agreement”) outlines the terms and conditions under which TISM Connect (“Consultant”) provides consulting services to its clients (“Client”).

Services Provided
The Consultant agrees to provide the following services: as defined and outline in the agreement and/or Statement of work

Client Responsibilities
The Client agrees to provide necessary information and access to resources, respond to requests and inquiries quickly, and designate a point of contact for communication.

Fees and Payment
Thee Client agrees to pay the Consultant fees outlined in the agreement and invoice (project-based, service based, etc.). Invoices will be issued with the agreement and are due immediately upon receipt to being services. Any additional expenses incurred will be pre-approved by the Client.

Confidentiality
Both parties agree to maintain confidentiality regarding proprietary information shared during the engagement.

Term and Termination
this Agreement will commence on the defined project or service start date and will continue until the defined project or service end date. Either party may terminate this Agreement with a 30 day advanced written notice.

Limitation of Liability
The Consultant’s liability is limited to the amount paid by the Client for services rendered under this Agreement.

Governing Law
This Agreement shall be governed by the laws of Colorado and/or an agreeable neutral jurisdiction by both parties.

Amendments
Any amendments to this Agreement must be in writing and signed by both parties.

Acceptance
By engaging the Consultant’s services, the Client acknowledges acceptance of these terms.
